The role

Phoenix General Counsel provides dedicated legal support to the Asset Management Function Investment Management, Transactions and Investment Funds activities. This role is part of Phoenix General Counsel Team lead by the Head of Legal for Investment Management & Transactions. The team provides high quality legal advice and services relating to the management of external investment service providers, investment transactions and internal and external investment structures. The role requires management of a variety of legal tasks and management of legal risks and being an active member of the wider General Counsel function. Our lawyers are expected to take an active interest in the wider business and their stakeholders.

Key responsibilities

• Drafting, negotiating, and advising on investment services agreements, investment management agreements and external fund link agreements for a variety of asset classes.
• Provide legal advice on investment transactions and structures including holdings in third party investment vehicles and fund structures, including drafting, negotiating and legal management of documentation and external lawyers.
• Acquisition and disposals of investment holdings including limited partnership investments in private equity and venture capital funds.
• Advising the new instrument approval committee on legal regulatory governance and compliance requirements to invest in new products.
• Provide support to senior lawyers in the General Counsel Function on investment related projects including M&A, BPA and Reinsurance transactions.
• Management of external lawyers specialist legal support efficiently and within budget.
• Provide high quality, commercial legal advice and develop internal business partner relationships.
• Be an active team member of the wider GC function, proactively contributing to the GC Function's vision of a high performing, innovative and fulfilled team.

What are we looking for?

• Qualified solicitor (regulated by either SRA or Law Society of Scotland) or other equivalent legal qualification.
• Financial Services, Corporate M&A or Commercial Contracts background, either gained in-house or through private practice experience.
