Job Title: Company Secretarial Manager

Salary: £57,000 - £76,200

Location: Cambridge, The Triangle Building, UK hybrid - 2 days per week in office

Contract: Permanent, Full time (35 hours per week)

We are looking for a Company Secretarial Manager to join the Company Secretarial team in Legal & Business Affairs, an approachable team which empowers the business to make effective and ethical choices and is enthusiastic about operational excellence to help us continually improve the way we support Cambridge. About the role

In this role, you will report to the Secretary of the Press & Assessment Board. You will help to provide advice and support in relation to entity management matters for the organisation's entities worldwide, working with other Shared Services colleagues. You will provide pragmatic and timely advice, document drafting (board resolutions, meeting minutes, powers of attorney, etc.), and related support to key stakeholders in the business, working in conjunction with colleagues in Finance and Tax.

You will be expected to provide proactive input in respect of company secretarial and organisational issues, particularly in relation to managing risk and ensuring that our entities operate compliantly, and to work closely with the Secretary of the Press & Assessment Board, external law firms, and employees at all levels.

Key responsibilities will include:

  • Advising on and drafting documents for all aspects of entity management work;
  • Drafting and reviewing bespoke and non standard documentation and support the preparation and implementation, as required, of all types of company secretarial records;
  • Helping to create and maintain complete records for the organisation's entities, including through active use of Diligent Entities;
  • Becoming a key contact to business colleagues and helping to advise on general company secretarial matters, interpreting requirements into practical guidance and actionable advice;
  • Working with members of the wider Company Secretarial team and with related business colleagues to propose, develop and implement improvements to our processes and practices.
About you

We don't mind which university you went to or where you trained. While we give an indication in the job description of desired experience in relevant roles as a guide, we are keen to hear about different experience which would make you a strong addition to our team.

  • Proven experience in company secretarial support, with emphasis on entity management and working across international jurisdictions within broad corporate groups.
  • Strong knowledge of general company secretarial services, including incorporations, registrations, name changes, and board support.
  • Excellent communication skills, able to engage effectively with stakeholders at all levels and collaborate within a matrix organisation.
  • Ability to manage multiple priorities under pressure, balancing speed with accuracy.
  • Ability to work both, while working autonomously and as part of a team, and keeping your manager informed.
  • High integrity, discretion, and professionalism, with the ability to supervise junior team members and maintain strong networks internally and externally.
