The Opportunity: In this position you will work closely with the Strategy Director and the Group Leadership Team to identify, evaluate and execute M&A transactions and investments. M&A is a critical pillar of the five year growth strategy. The business is looking to build an effective systematic deal process to enable it to execute multiple transactions per year across the portfolio. M&A is a high profile, strategic part of the strategy and so this position represents a vital role within the company. You will be expected to be able to lead all aspects of transaction evaluation and execution, from idea generation and deal origination through valuation, due diligence, and negotiation of terms. The Role: Proactive searching Establishing and maintaining network of advisors and contacts active in relevant transactions (including investment banks) deep-dive reviews into sectors independently or with 3rd party resource (assessing market; identifying long-list of targets using tools, databases and desk-research; filtering and prioritising targets; contacting targets) Maintaining and monitoring a 'wish-list' of targets over-time and cultivating relationships Reviewing in-coming deals pre NBO Managing NDAs, assessing IMs, managing management Q&As, creating one-pager summaries for review with leadership Managing / working in collaboration with internal teams (Finance, Tax, Legal, HR, Product & Tech, and others) to evaluate targets, and identify and quantify synergies and consider integration risk and plans Reviewing & creating financial plans and projections; DCF creation (pre and post NBO) Managing valuation - creating multiples comparisons, proposing valuations for targets (in conjunction with Burda International / Burda Group M&A teams) Managing end-to-end deal process from NBO to transaction Create board papers for NBO approval, and final transaction approval Manage DD process (in conjunction with project management resource where required) Manage transaction/negotiation completion (in conjunction with Strategy Director, CFO, Burda Group M&A as applicable) Establishing and maintaining deal team & process (in conjunction with Strategy Director) Managing regular M&A leadership meetings Setting up standardised systematic end-to-end transaction process Ensuring right level of resource is in place Engaging and managing 3rd party advisors The Requirements: Previous experience in Venture Capital, Private Equity or Investment Banking preferred Experience in TMT and mid-market M&A preferred Strong skills in creating powerful presentations Strong skills in finance, valuation, and modelling Excellent analytical and communication, and network skills
